GENERAL TERMS AND CONDITIONS

1   GENERAL INFORMATION

1.1. The following General Terms and Conditions (hereinafter referred to as "GTC"), shall apply unconditionally to all present and future business relations between CHRONOTIME AG and the customer (hereinafter referred to as the "Buyer").

1.2. The contract becomes active when the Buyer's order is confirmed by CHRONOTIME AG, by means of an order acceptance, order confirmation or invoice. The order acceptance, order confirmation or invoice contain the essential information of the purchase order as well as the conditions of CHRONOTIME AG, which are not listed in detail in the GTC. They form an in­tegral part of the present GTC. Every order implies agreement by the Buyer of the pre­sent GTC.

1.3. Regulations deviating from these business terms are not applicable unless they have been confirmed in writing by CHRONOTIME AG. CHRONOTIME AG reserves the right to correct or change the content of the GTC at any time without prior notice.

2   ORDER TRANSACTION

2.1. All orders require acceptance and written confirmation by CHRONOTIME AG according to point 1.2.

2.2. If the ordered articles should not be available, CHRONOTIME AG shall inform the Buyer as soon as possible. The Buyer has the option of waiting until the article is available again, or to cancel the purchase order. By choosing the option to wait, which will be confirmed by CHRONOTIME AG by means of an order acceptance, order confirmation or invoice, a binding contract becomes active between the Buyer and CHRONOTIME AG.

3   REFUSAL OF ACCEPTANCE

3.1. In case of an unjustified refusal of the receipt of the supplied goods, CHRONOTIME AG re­serves the right to charge the costs occurred.

4   PRICES

4.1. The prices applicable are those stated in the current price list of CHRONOTIME AG. If prices have been changed, the prices listed in the current price list apply, including the corresponding conditions.

4.2. Unless otherwise indicated, all prices are in Swiss francs and include 7.7% VAT., plus pack­ing/shipping fees and insurance.

4.3. In case an obvious error occurs in the price indication and the article ordered has been offered at the wrong price, CHRONOTIME AG is not obliged to deliver the article at the wrong price, even if an order confirmation or invoice has already been issued on the basis of the wrong price. The Buyer will be informed about the mistake and has the choice to accept the correct price or to cancel the article.

5   SHIPPING FEES

5.1. Pricing is understood as from Uster warehouse/factory plus packing/shipping fees and insur­ance. Shipping costs depend on the weight of the order and the recipient's country. The shipping mode is by registered "priority" post. For additional insurance or to use a different shipping method, please e-mail shop@swisshypertec.ch before ordering. The Buyer will bear all related expenses.

5.2. Should CHRONOTIME AG choose a speedier mode of dispatch to meet the delivery deadline, no additional costs for the Buyer will occur.

6   TERMS OF PAYMENT

6.1. Unless no other arrangement has been made, that is order acceptance, order confirmation or invoice do not contain different indications, the following terms of payment apply: Pre-payment via bank money-order, credit card (Visa, Mastercard) or Paypal.

6.2. The ordered articles will be dispatched after receipt of the total amount due as per order acceptance, order confirmation or invoice.

The invoices are payable in Swiss francs. Associated expenditures (losses/additional fees) due to payments made in other currencies are to be borne by the Buyer. The invoice will be con­sidered as not paid in full.

6.3. For custom-made products, that is for all items outside our range, payment terms will be according to the conditions in accordance with the special agreement. In general, for all custom products a deposit will be invoiced.

7   DELIVERY

7.1. Unless no other arrangement has been made, that is order acceptance, order confirmation or invoice do not contain different indications, the following delivery terms apply:

  • Dispatch is made within approx. 10 working days after receipt of the payment, at the Buyer's risk and expense.
  • Additional costs resulting from part-deliveries requested by the Buyer are billed.
  • Customized products: The estimated delivery time will be indicated in the order confirmation.

7.2. In case the estimated delivery time indicated in the order confirmation cannot be met, the Buyer will be notified immediately and the new date will be communicated. Within a further 30-day period, CHRONOTIME AG may subsequently deliver the concerned item.

7.3. If the Buyer disagrees with the new delivery date or CHRONOTIME AG is not in the position to meet the new 30-day period, the Buyer has the right to cancel the purchase order.

7.4. In the event of a delay in delivery of one item, CHRONOTIME AG is entitled to carry out part deliveries to meet the delivery term of the other articles. Additional expenses for partial deliveries without prior agreement and arising from the delay in delivery of CHRONOTIME AG, will not be charged to the Buyer.

8   RIGHT OF REVOCATION / RIGHT OF RETURN

8.1. The Buyer has the right to withdraw from the order within 10 days. The period starts on the day of receipt of the goods. Conditions for the withdrawal are the return of the articles to CHRONOTIME AG in an intact and perfect state (not used), original packaging and the indica­tion of the reason for return.

8.2. The costs for the return must be borne by the Buyer.

8.3. In case of an effective revocation, after receipt and control of the products, the payed amount will be refunded to the Buyer.

8.4. Special orders and products made to specifications are excluded from the right of revocation.

9   Warranty

     Purchases from CHRONOTIME AG

9.1. CHRONOTIME AG grants a warranty of 2 years starting from the purchase date on the delivered products. The warranty extends to material and manufacturing defects. Excluded from this warranty are damages caused by improper handling, normal wear, the crystal and the battery. The warranty is also invalid, should the watch have been repaired other than by an authorized HYPERTEC® service center or by CHRONOTIME AG.

9.2. The Buyer is obligated to inspect the merchandise immediately after delivery and, in the case of material or manufacturing defects, to inform CHRONOTIME AG of said defects in writing within 8 days from the day of receipt of the goods. Late notifications of defect can­not be considered.

9.3. In order to validate a guarantee claim, the Buyer must supply the correctly filled guarantee certificate with serial number, purchase date, stamp and signature of CHRONOTIME AG and the original purchase document with the return delivery of the product.

9.4. For faults and defects discovered within the warranty period and reported to CHRONOTIME AG, CHRONOTIME AG is entitled to decide at its sole discretion whether to repair or replace the article in question. One condition is, however, that the defective product has been returned to CHRONOTIME AG.

     Purchases from third-party sellers

9.5. For a guarantee claim for a product manufactured by CHRONOTIME AG but purchased from third-party seller, the customer must first contact the seller. However, the date of production is principally decisive for CHRONOTIME AG to grant the warranty.

     Damages in transit

9.6. Damages in transit are not subject to warranty of CHRONOTIME AG and have to be claimed by the Buyer with the forwarding company in due time.

10   TRANSFER OF OWNERSHIP / reservation of proprietary rights

10.1. All delivered articles shall remain the property of CHRONOTIME AG until full payment of all outstanding debts of the Buyer is received. With the complete payment of the invoice amount, the owner­ship is transferred to the Buyer.

10.2. In the event of a conduct contrary to the terms of the contract by the Buyer, i.e. any breach of the GTC or special agreements (for example a de­lay in payment), CHRONOTIME AG is entitled to withdraw from the contract, to cease to supply the Buyer and to demand immediate return of the delivered products without previously setting a deadline. The Buyer is obliged to surrender the goods and bears the costs involved.

11   Place of fulfilment / Place of jurisdiction

11.1. The applicable laws are the national laws of Switzerland.

11.2. The place of fulfilment and venue for jurisdiction for all requirements and law cases devel­oping from the contractual relation between the Buyer and CHRONOTIME AG is explicitly Uster.
